Terms of Service
Effective date: 2026-10-05 · Version: 2026-10-05
These Terms of Service ("Terms") are an agreement between Devo Productions LLC ("we", "us") and the school or organization that uses Scriptorium (the "School"), and the individuals the School authorizes to use it ("Users"). By creating an account or using Scriptorium (the "Service") you agree to these Terms. If you accept on behalf of a School, you confirm you have authority to bind it.
1. The Service
Scriptorium is a web application for curriculum mapping, unit and lesson planning, standards alignment and related reporting. We may improve, change or remove features over time. We will give reasonable notice of changes that materially reduce core functionality.
2. Accounts and security
The School designates administrators who create and manage User accounts and are responsible for the accuracy of that information and for removing access promptly when someone leaves.
Users must keep credentials confidential, use a strong unique password, and tell us promptly at [email protected] if they suspect unauthorized access. We recommend administrators enable two-step sign-in.
The School is responsible for activity under its accounts.
3. School content
"School Content" means everything the School and its Users enter or upload: curriculum maps, units, lessons, standards sets, templates, and similar materials.
The School owns its School Content. We receive only the limited license needed to host, process, back up and display it to the School's Users and to operate and secure the Service.
The School is responsible for having the rights to its content, including any standards, texts or materials it imports.
No student records. The Service is designed for curriculum planning, not for student records. The School agrees not to enter student names, grades, health, disciplinary or other personally identifiable student information. If the School chooses to do so, it is responsible for its legal obligations (including FERPA and COPPA) and must first agree additional terms with us in writing.
Fees, billing periods and any trial terms are set out in the School's order form or invoice. Unless stated otherwise, fees are billed in advance, are non-refundable except where required by law, and exclude taxes. We may change prices for a renewal term with at least 60 days' notice. [Payment terms to be completed by counsel.]
6. Availability and support
We aim to keep the Service available and will make reasonable efforts to schedule maintenance outside school hours. We do not guarantee uninterrupted or error-free operation unless a signed service-level agreement says otherwise. Support is available at [email protected] on business days.
7. Data protection and privacy
Our handling of personal information is described in the Privacy Policy. Where the School's use involves personal data governed by data-protection law, the Data Processing Addendum applies, and the current list of subprocessors is published.
8. Intellectual property
The Service, including its software, design and documentation, belongs to Devo Productions LLC and its licensors. These Terms give the School a limited, non-exclusive, non-transferable right to use the Service during the term. Feedback and suggestions may be used by us without obligation.
9. Confidentiality
Each party will protect the other's non-public information with reasonable care and use it only to perform under these Terms, except where disclosure is required by law.
10. Term, suspension and termination
These Terms last as long as the School uses the Service or its subscription continues.
Either party may terminate for the other's material breach that remains uncured 30 days after written notice. The School may stop using the Service at any time; fees already paid are not refunded unless required by law.
We may suspend access immediately where needed to protect the Service, other customers or Users from security threats or unlawful use, and will restore access when the issue is resolved.
Your data on exit: for 30 days after termination the School may request an export of its School Content in a common format. After that period we will delete School Content from active systems, and from backups within [90] days, unless law requires otherwise.
11. Warranties and disclaimers
We will provide the Service with reasonable skill and care. Except as expressly stated, the Service is provided "as is" and we disclaim all other warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service meets any particular accreditation, regulatory or standards-alignment requirement; curriculum decisions remain the School's.
12. Limitation of liability
To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits; and (b) each party's total liability arising out of these Terms is limited to the fees paid or payable by the School in the 12 months before the claim arose. These limits do not apply to liability that cannot be limited by law. [Cap amount and exceptions to be confirmed by counsel.]
13. Indemnity
Each party will defend the other against third-party claims that the first party's materials infringe intellectual property rights, subject to prompt notice and cooperation. [To be completed by counsel.]
Changes: we may update these Terms; material changes will be notified at least 30 days in advance by email to administrators or in the Service. Continued use after the effective date means acceptance.
Entire agreement: these Terms, with any order form and the documents linked above, are the entire agreement. If a signed agreement with the School conflicts with these Terms, the signed agreement controls.
Assignment: we may assign these Terms in a merger or sale of the business; the School may not assign without our consent.
Notices: to [email protected] (to us) and to the administrator email on the account (to the School).
